Senior Counsel, GE Corporate Holdings

**Job Description Summary**

Key member of the legal team managing legacy liabilities on behalf of the GE Corporate Holdings group. The Senior Counsel, GE Corporate Holdings provides ongoing legal advice and support to business leaders across the GE Corporate Holdings organization of GE Aerospace. The Counsel hired for this role will be a sophisticated, business-oriented corporate attorney who can work effectively across all levels of the organization, both domestically and internationally, for GE’s legacy portfolio.

**Job Description**

**Roles and Responsibilities**

+ Providing legal advice to colleagues on legacy legal and business issues, including but not limited to transactional legal work and regulatory support, including financial services regulatory support

+ Overseeing and providing support for the Polish Bank legal team, particularly with respect to non-litigation matters

+ Evaluating and advising business colleagues on the legal risk being undertaken in a particular action, transaction or agreement

+ Select and collaborate with external law firms and vendors; track and manage budgets and legal spend to ensure cost-effective outcomes

+ Develop and execute strategies for successful resolution of legacy portfolio

+ Draft and review legal agreements and documents, including sale and purchase agreements, settlement agreements and board resolutions

+ Provide advice on dispositions, de-risking transactions and dispute resolution, including litigation, indemnification and other dispute and/or legal recovery matters

+ Determine appropriate allocation of responsibility for cross-business and “orphaned” liabilities / disputes and work with legal teams at GE Vernova, GEHC and other former businesses

+ Assist in preparation of status reports on significant matters for Board, Audit Committee, Quarterly Wrap sessions, external auditors and SEC reporting team

+ Provide advice regarding legal entity governance [/ simplification]

+ Work with records and information management team for legacy matters

**Required Qualifications**

+ JD or law degree from an accredited university

+ 12+ years of legal practice

+ Member in good standing with the State Bar

+ Ability to travel up to 10% of time domestic or international

**Desired Characteristics**

+ Strong oral and written communication skills.

+ Strong interpersonal and leadership skills.

+ Demonstrated ability to analyze and resolve problems.

+ Significant experience in managing legacy matters, and legal entity governance.

+ Prior in-house or Corporate experience a plus.

This role is restricted to U.S. persons (i.e., U.S. citizens, permanent residents, and other protected individuals under the Immigration and Naturalization Act, 8 U.S.C. 1324b(a)(3)) due to access to export-controlled technology. GE Aerospace will require proof of status prior to employment.
