Director, IT Com Contract Mgt

**Overview**

The IT Commercial Contracts role will be responsible for drafting, negotiating, and executing contracts. This role will report to the VP of Procurement and will work closely with multiple levels of management within Acosta business units including the Legal department.

Our ideal candidate has previous experience with contract administration, is experienced with legal requirements for contract drafting and contract reviews, ensures all contracts conform to company standards and requirements, and can manage the contract and commercial management aspects for the various responsibilities, skills, and experiences outlined below.

**Essential Functions:**

+ Review, markup/draft, negotiate and close commercial contracts, including master services agreements, statements of work, software licensing, RFP responses, renewals, extensions and supporting documents

+ Support business clients in negotiating price, deliverables, services scope, warranty, and other commercial terms

+ Apply best practices to develop contracts (Statements of Work, Amendments, renewals) for various types of engagements relating to IT

+ Provide rapid, practical, business-oriented legal/commercial contract advice

+ Create and maintain relationships with suppliers and serve as the singular point of contact for all contract matters

+ Familiar with Merger and Acquisition activities

+ Ensure the identification of opportunities to minimize contract risk and coordinate commercial risk mitigation measures

+ Follow contract management process controls to verify contract documents are fully approved and vetted internally before presenting to the client

+ Support and become expert in Apttus, the contract management system of record, for cataloging and tracking all contracts, approvals, and storage of fully executed contract

+ Maintain records for correspondence and documentation in relations to established contracts and those in progress

+ Revise documents for adherence to company policy/position statements, and advise on contractual rights and obligations, and provide interpretation of terms and conditions

+ Monitor and recommend adjustments to commercial strategies, position statements, and contractual terms based on audits, market conditions, and changes in law

+ Other duties as assigned

**Qualifications**

**Education Requirements:**

+ High School Diploma/GED

+ Bachelor’s Degree

+ Graduate Degree

+ J.D. degree from an accredited law school required

**Wok Experience Requirements:**

+ 5+ years of relevant experience in a law firm and/or corporate legal or procurement department

+ Experience preferred in Information Technology and/or Software Industry

+ 5+ years in Contract development, Procurement, Risk management, Vendor oversight, Negotiation, Finance, Law, Business, or combination thereof

**Knowledge, Skills and Abilities Requirements:**

+ Keen attention to detail, with an ability to spot errors and identify key risk areas in a contract

+ Excellent interpersonal skills and ability to communicate in a professional and timely manner with varying seniority levels, including peers, managers/directors, and VP/C-level both internal and external

+ Strong ethics, integrity, and values including ability to maintain confidentiality with respect to agreement contents and other highly sensitive business matters and projects required

+ Possess the ability to adapt to changes, delays, or unexpected shifts in priorities while maintaining focus and productivity in a high-volume environment required

+ Experience negotiating commercial contracts and other experience demonstrating ability to handle and close commercial and legal negotiations

+ Demonstrated success working in a high-performing, business results-driven environment

+ Ability to draft and close commercial agreements with minimal support from senior staff
